Agreement to Terms

By accessing or using the RackMinder mobile application and related services operated by Rack Minder LLC (the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not access or use the Service.

Description of Service

Rack Minder LLC provides a mobile application that allows users to:

• Track and manage server equipment and hardware assets
• Monitor equipment locations and configurations
• Receive notifications about equipment status
• Sync data across devices using CloudKit

Eligibility

You must be at least 13 years of age to use the Service. By using the Service, you represent and warrant that you meet this age requirement.

User Accounts

Account Creation

To use the Service, you must create an account by providing:

• A valid email address
• Contact information as requested
• Acceptance of these Terms and our Privacy Policy

Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access

Account Deletion

You have the right to delete your account and all associated data at any time.

To delete your account:

1. Open the RackMinder app
2. Navigate to Settings → Account
3. Select “Delete Account”
4. Confirm deletion

Upon deletion:

• All your personal data will be permanently removed within 30 days
• All equipment and location data will be deleted
• All CloudKit synced data will be erased
• This action cannot be reversed

User Content

Your Data

You retain all rights to the data you input into the Service, including:

• Equipment information and hardware IDs
• Location data (rack locations, garage locations)
• Custom configurations and preferences

License to Us

By using the Service, you grant us a limited license to:

• Store your data in CloudKit for sync purposes
• Process your data to provide the Service functionality
• Display your data back to you within the app

We will never:

• Share your data with third parties
• Use your data for advertising or marketing
• Sell or rent your data to anyone

Prohibited Uses

You agree not to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights
• Transmit malicious code or viruses
• Attempt to gain unauthorized access to the Service
• Use the Service for any illegal purpose
• Reverse engineer or decompile the app
• Interfere with other users’ use of the Service

Privacy and Data Protection

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy.

Key commitments:

• We do not share your data with any partners or third parties
• We do not use analytics or tracking services
• Complete account deletion is available in-app
• All data is permanently deleted within 30 days of account deletion
• Full GDPR compliance with all user rights

Intellectual Property

Our Rights

The Service, including all content, features, and functionality, is owned by Rack Minder LLC and is protected by United States and international copyright, trademark, and other intellectual property laws.

License to You

We grant you a limited, non-exclusive, non-transferable, revocable license to use the mobile application for personal, non-commercial purposes in accordance with these Terms.

Trademarks

RackMinder and its logo are trademarks of RackMinder. You may not use our trademarks without our prior written permission.

Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability
• Fitness for a particular purpose
• Non-infringement
• Accuracy, reliability, or completeness

We do not warrant that:

• The Service will be uninterrupted or error-free
• Defects will be corrected
• The Service is free of viruses or harmful components

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RACK MINDER LLC SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, use, or goodwill
• Service interruption or data loss
• Any damages arising from your use of the Service

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID US IN THE PAST 12 MONTHS, OR $100, WHICHEVER IS GREATER.

Indemnification

You agree to indemnify and hold harmless Rack Minder LLC from any claims, damages, losses, liabilities, and expenses (including attorneys’ fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Your data or content

Modifications to the Service

We reserve the right to:

• Modify or discontinue the Service at any time
• Change features or functionality
• Update pricing (with notice)

We will provide reasonable notice of material changes when possible.

Modifications to Terms

We may update these Terms from time to time. When we do:

• We will update the “Last Updated” date
• We will notify you through the app or via email
• Continued use of the Service constitutes acceptance of new Terms

Material changes will be effective 30 days after notice.

Termination

By You

You may terminate your account at any time using the in-app deletion feature. Upon termination, all your data will be permanently deleted within 30 days.

By Us

We may suspend or terminate your account if you:

• Violate these Terms
• Engage in fraudulent or illegal activity
• Pose a security risk to the Service

We will provide notice when possible, except in cases of legal requirement or security concerns.

Effect of Termination

Upon termination:

• Your right to use the Service immediately ceases
• All your data will be permanently deleted within 30 days
• Provisions that should survive termination will remain in effect

Governing Law

These Terms are governed by the laws of the United States and the state in which RackMinder is incorporated, without regard to conflict of law provisions.

Dispute Resolution

Informal Resolution

Before filing a claim, you agree to contact us at legal@rackminder.com to attempt to resolve the dispute informally.

Arbitration

Any disputes that cannot be resolved informally shall be resolved through binding arbitration in accordance with the American Arbitration Association rules, conducted in the jurisdiction where Rack Minder LLC is located.

Class Action Waiver

You agree to resolve disputes individually and waive the right to participate in class actions or class arbitrations.

Apple App Store Terms

If you access the Service through an iOS app downloaded from the Apple App Store, you acknowledge and agree that:

• These Terms are between you and Rack Minder LLC, not Apple
• Apple has no obligation to provide support for the app
• Apple is not responsible for the app or its content
• Apple is a third-party beneficiary of these Terms
• You will comply with all applicable third-party terms when using the app

Export Control

You agree to comply with all applicable export and re-export control laws and regulations.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Rack Minder LLC regarding the Service.
