Agreement to Terms

By accessing or using the RackMinder mobile application and related services operated by RackMinder LLC (the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not access or use the Service.

Description of Service

RackMinder is a driver-assistance utility that helps you avoid driving a roof-mounted load (such as a bike rack, kayak, cargo box, or ski rack) into an overhead structure like a garage or parking deck. Using a small Bluetooth iBeacon tag attached to your load and the garage locations you save, RackMinder detects when you are returning to a saved garage with a load on the roof and delivers a time-sensitive alert.

RackMinder works together with a separately-purchased RackMinder beacon. Without a RackMinder beacon, the app cannot detect a load.

Important Safety Notice

RackMinder is a safety aid, not a guarantee. It is intended to help remind you about a roof load; it is not a substitute for your own attention and judgment. RackMinder cannot prevent every collision, and alerts may not reach you in every situation. You remain solely responsible for the safe operation of your vehicle, including confirming your vehicle’s clearance before entering any garage or structure. Do not rely on RackMinder as your only safeguard, and do not interact with the app while driving in a manner that distracts you from the road.

Alerts are delivered as time-sensitive notifications together with an in-app sound and a spoken warning. RackMinder does not override your device’s mute switch or system Focus modes.

Eligibility

You must be at least 16 years of age to use the Service, and you should be a licensed driver. By using the Service, you represent and warrant that you meet this requirement. The Service is not directed to or intended for children.

No Account Required

RackMinder does not require you to create an account, username, or password. The app uses your device’s existing Apple iCloud sign-in to store your data in your own private iCloud. You are responsible for maintaining the security of your Apple ID and device.

Your Content and Data

Your Data

You retain all rights to the data you enter into the Service, including the garages and beacons you save and the trips the app records. This data is stored in your own private iCloud account; RackMinder LLC does not have access to it.

How You Control It

Because your data lives in your own iCloud, you control it. You can delete your garages, beacons, and trips within the app at any time, or remove the app and clear its iCloud data. RackMinder LLC holds no separate server-side copy of your content. Our collection and use of information is described in our Privacy Policy.

Hardware

A RackMinder beacon is required for the app to detect a load and is sold separately. Use the beacon in accordance with any instructions and applicable law. RackMinder LLC is not responsible for damage resulting from improper installation, attachment, or use of the beacon or of any roof load.

Prohibited Uses

You agree not to:

Violate any applicable laws or regulations
Infringe on intellectual property rights
Transmit malicious code or viruses
Attempt to gain unauthorized access to the Service
Use the Service for any illegal purpose
Reverse engineer or decompile the app, except to the extent this restriction is prohibited by applicable law
Interfere with other users’ use of the Service

Intellectual Property

Our Rights

The Service, including all content, features, and functionality, is owned by RackMinder LLC and is protected by United States and international copyright, trademark, and other intellectual property laws.

License to You

We grant you a limited, non-exclusive, non-transferable, revocable license to use the mobile application for personal, non-commercial purposes in accordance with these Terms.

Trademarks

RackMinder and its logo are trademarks of RackMinder LLC. You may not use our trademarks without our prior written permission.

Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

Warranties of merchantability
Fitness for a particular purpose
Non-infringement
Accuracy, reliability, or completeness

We do not warrant that:

The Service will be uninterrupted, timely, secure, or error-free
Any defect will be corrected
The Service or the alerts it provides will prevent any particular collision or damage

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RACKMINDER LLC SHALL NOT BE LIABLE FOR:

Any indirect, incidental, special, consequential, or punitive damages
Loss of profits, data, use, or goodwill
Property damage, including damage to your vehicle, roof load, garage, or other structures
Any damages arising from your use of, or inability to use, the Service

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE GREATER OF THE AMOUNT YOU PAID US FOR THE APP IN THE PAST 12 MONTHS OR $100.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so some of the above may not apply to you.

Indemnification

You agree to indemnify and hold harmless RackMinder LLC from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of another party.

Modifications to the Service

We reserve the right to modify or discontinue the Service, or any part of it, at any time. We will provide reasonable notice of material changes when possible.

Modifications to Terms

We may update these Terms from time to time. When we do, we will update the “Last Updated” date above. Material changes will be communicated through the app or website where reasonable, and your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

Termination

You may stop using the Service at any time and delete your data as described above. We may suspend or terminate your access to the Service if you violate these Terms or engage in fraudulent, unlawful, or harmful activity. Provisions that by their nature should survive termination will remain in effect.

Governing Law

These Terms are governed by the laws of the State of Colorado, United States, without regard to its conflict-of-law provisions.

Dispute Resolution

Informal Resolution

Before filing a claim, you agree to contact us at legal@rackminder.com to attempt to resolve the dispute informally.

Arbitration

Any disputes that cannot be resolved informally shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in Colorado, except that either party may bring an individual claim in small-claims court.

Class Action Waiver

You agree to resolve disputes individually and waive the right to participate in class actions or class arbitrations, to the extent permitted by applicable law.

Apple App Store Terms

If you download the app from the Apple App Store, you acknowledge and agree that:

These Terms are between you and RackMinder LLC, not Apple
Apple has no obligation to provide support or maintenance for the app
Apple is not responsible for the app or its content
Apple is a third-party beneficiary of these Terms and may enforce them
You will comply with all applicable third-party terms when using the app

Export Control

You agree to comply with all applicable export and re-export control laws and regulations in your use of the Service.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and RackMinder LLC regarding the Service.
